Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and IrisCalls LLC, a limited liability company registered in the Islamic Republic of Pakistan ("IrisCalls," "we," "us," or "our"), governing your access to and use of the IrisCalls AI receptionist and communications platform, including the website at https://iriscalls.com, the dashboard application, APIs, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.


1. ELIGIBILITY

1.1 You must be at least 16 years of age to use the Service. If you are between 16 and the age of majority in your jurisdiction, you confirm that you have obtained verifiable parental or legal guardian consent.

1.2 If you are using the Service on behalf of a business, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

1.3 You must not use the Service if you are barred from doing so under any applicable law, including the laws of Pakistan, the laws of your country of residence, or the operating restrictions of our payment processor (Paddle.com Market Limited).


2. THE SERVICE

2.1 Service Description. IrisCalls provides an AI-powered virtual receptionist platform that handles inbound and outbound voice calls, schedules appointments, sends email confirmations and reminders via connected Gmail accounts, syncs with Google Calendar, logs activity to Google Sheets, and offers related communication automation features.

2.2 No Human Operator Guarantee. The Service uses artificial intelligence to handle calls. While we strive for natural conversation, the Service is not a human operator and is not a substitute for emergency, medical, legal, or crisis services. You are solely responsible for ensuring the Service is appropriate for your use case.

2.3 Modifications. We may add, modify, suspend, or discontinue any feature of the Service at any time. We will provide reasonable advance notice for material changes that adversely affect paying customers.

2.4 Beta Features. Features marked "beta," "preview," or "experimental" are provided as-is, without warranty, and may be modified or removed without notice.


3. ACCOUNTS AND ACCESS

3.1 Account Creation. To use the Service, you must register for an account using a valid email address or supported single sign-on provider (such as Google OAuth). You must provide accurate, current, and complete information.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@iriscalls.com of any unauthorized access or security breach.

3.3 One Account per Entity. You may not share an account, sublicense access, or resell the Service without our prior written consent.


4. SUBSCRIPTIONS, BILLING, AND REFUNDS

4.1 Plans. The Service is offered on subscription plans (Starter, Professional, Business) at prices published at https://iriscalls.com/pricing. Prices may be updated with at least 30 days' notice to existing customers.

4.2 Free Trial. New customers may be eligible for a 14-day free trial. At the end of the free trial, your account will automatically convert to a paid subscription on your selected plan, and your payment method will be charged the applicable subscription fee. You may cancel at any time during the trial to avoid being charged.

4.3 Payment Processor. All payments are processed by Paddle.com Market Limited ("Paddle"), our merchant of record. By subscribing, you also agree to Paddle's terms available at https://www.paddle.com/legal/terms. Paddle may collect and remit applicable taxes (VAT, GST, sales tax) on our behalf based on your billing location.

4.4 Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle (monthly or annual) at the then-current rate, unless cancelled before the renewal date.

4.5 Refund Policy.

  • We offer a 7-day money-back guarantee on first-time purchases only. If you are dissatisfied within 7 days of your initial subscription charge, contact support@iriscalls.com to request a full refund.
  • Refunds are not available on subsequent renewals, plan upgrades, overage charges, or add-on purchases.
  • Refund requests outside the 7-day window are at our sole discretion.
  • Refunds for fraudulent transactions or chargebacks are handled by Paddle in accordance with their policies.

4.6 Overage Charges. If you exceed the included call minutes or outbound calls in your plan, overage charges will apply at the rates published on the pricing page. These charges are billed at the end of each cycle and are non-refundable.

4.7 Failed Payments. If a payment fails, we may suspend access to the Service until the balance is paid. Repeated failures may result in account termination.

4.8 Cancellation. You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period. You will retain access until that date.


5. ACCEPTABLE USE

5.1 You agree NOT to use the Service to:

(a) Make or receive calls in violation of any applicable telecommunications law, including but not limited to the U.S. Telephone Consumer Protection Act (TCPA), the EU ePrivacy Directive, the UK Privacy and Electronic Communications Regulations (PECR), Canada's CASL, India's TRAI regulations, or equivalent laws in your jurisdiction.

(b) Engage in unsolicited bulk calling (robocalls), telemarketing, scam calls, phishing, or any deceptive communication.

(c) Impersonate any person, business, or government entity, or misrepresent your affiliation with any party.

(d) Transmit unlawful, harassing, defamatory, obscene, or threatening content.

(e) Reverse engineer, decompile, or attempt to extract the source code or AI models powering the Service.

(f) Interfere with, overload, or disrupt the Service infrastructure, including through automated scraping, denial-of-service attacks, or excessive API requests.

(g) Use the Service for emergency communications, life-safety services, suicide prevention, crisis hotlines, or any application where failure could result in death, personal injury, or significant property damage.

(h) Resell, white-label, or sublicense the Service without a written enterprise agreement.

(i) Use the Service in any sanctioned country or in violation of applicable export control laws (including U.S. OFAC, EU, and UN sanctions). Paddle may further restrict service availability in certain jurisdictions.

5.2 Call Recording Compliance. Call recording is an optional feature. You are solely responsible for complying with all applicable call recording laws in your jurisdiction, including obtaining required consent from callers (one-party consent, two-party consent, or all-party consent depending on the jurisdiction). IrisCalls is not responsible for any liability arising from your use of the recording feature.

5.3 Consent for AI-Handled Calls. Some jurisdictions require disclosure that callers are speaking with an AI. You are responsible for configuring your Iris greeting and disclosure settings to comply with local laws.

5.4 Suspension. We may suspend or terminate your account immediately and without refund if we reasonably determine you have violated this Section 5.


6. CUSTOMER DATA AND CONTENT

6.1 Ownership. You retain all rights to data you submit to the Service ("Customer Data"), including call recordings, transcripts, contact lists, calendar entries, and email content.

6.2 License to IrisCalls. You grant IrisCalls a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display Customer Data solely as necessary to provide and improve the Service.

6.3 Aggregated Data. We may use de-identified, aggregated data derived from Customer Data to operate, improve, and develop the Service. Aggregated data does not identify you or any individual.

6.4 Third-Party Integrations. When you connect Google Calendar, Gmail, Google Sheets, Google Drive, or other third-party services, you authorize IrisCalls to access, read, and write data on your behalf within those services. You must comply with the terms of those third-party services.

6.5 Backup Responsibility. While we maintain reasonable backups, you are responsible for maintaining your own copies of critical data.


7. INTELLECTUAL PROPERTY

7.1 IrisCalls IP. The Service, including all software, AI models, text, graphics, logos, and trademarks, is owned by IrisCalls LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

7.2 Feedback. Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without restriction or compensation to you.

7.3 Trademarks. "IrisCalls," "Iris AI," and the IrisCalls logo are trademarks of IrisCalls LLC. You may not use them without prior written permission.


8. THIRD-PARTY SERVICES

8.1 The Service integrates with third-party services including Google (Calendar, Gmail, Sheets, Drive, Meet), Microsoft (Teams, Outlook), Paddle (payments), MongoDB Atlas (database), Vercel (hosting), and others described in our Privacy Policy.

8.2 We are not responsible for the availability, accuracy, content, or practices of third-party services. Your use of those services is governed by their respective terms.


9. DISCLAIMERS

9.1 AS-IS BASIS. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

9.2 No Guarantee of Outcomes. We do not guarantee that the AI will correctly handle every call, book every appointment accurately, or never make errors. AI systems are probabilistic and may produce incorrect or unexpected outputs.

9.3 No Telecommunications Carrier. IrisCalls is not a regulated telecommunications carrier. We rely on third-party voice infrastructure providers, and call quality, connectivity, and availability are subject to their networks.

9.4 No Legal, Medical, or Professional Advice. The Service is a communication tool, not a source of legal, medical, financial, or professional advice.


10. LIMITATION OF LIABILITY

10.1 EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRISCALLS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 CAP ON DIRECT DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO IRISCALLS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

10.3 These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and survive termination of these Terms.


11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless IrisCalls LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

(a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right, including telecommunications, privacy, and recording consent laws; (d) any content or data you submit to the Service; (e) calls made or received through your account; (f) disputes with your customers, callers, or end-users.


12. TERMINATION

12.1 By You. You may terminate your account at any time by cancelling your subscription from the dashboard.

12.2 By Us. We may suspend or terminate your account immediately, with or without notice, if you breach these Terms, fail to pay fees, engage in fraudulent or illegal activity, or pose a risk to the Service or other users.

12.3 Effect of Termination. Upon termination, your right to use the Service ends. We will retain or delete Customer Data in accordance with our Privacy Policy and data retention practices. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.


13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law principles.

13.2 Jurisdiction. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Karachi, Sindh, Pakistan, and you consent to the personal jurisdiction of those courts.

13.3 Informal Resolution. Before filing any formal claim, you agree to first contact us at support@iriscalls.com to attempt to resolve the dispute informally. We will respond within 30 days.

13.4 No Class Actions. To the extent permitted by law, you agree to resolve disputes only on an individual basis and waive any right to participate in a class action, class arbitration, or representative action.


14. INTERNATIONAL USE

14.1 The Service is operated from Pakistan and is offered globally through Paddle. You are responsible for compliance with the laws of your country, including data protection, telecommunications, and consumer protection laws.

14.2 If you access the Service from a jurisdiction where the Service is restricted or prohibited, you do so at your own risk.


15. CHANGES TO THESE TERMS

15.1 We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect.

15.2 Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may cancel your subscription.


16. GENERAL PROVISIONS

16.1 Entire Agreement. These Terms, together with the Privacy Policy and any plan-specific addenda, constitute the entire agreement between you and IrisCalls regarding the Service.

16.2 Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.

16.3 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

16.4 Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (acts of God, natural disasters, war, government actions, internet outages, third-party service failures).

16.6 Notices. Notices to IrisCalls must be sent to support@iriscalls.com. Notices to you will be sent to the email address on your account.
